Overview

Welcome to Raiman Rocks Wailea. These Terms of Service (“Terms”) govern your access to and use of the website, online store, content, features, products, and related services operated by Raiman Rocks Wailea, LLC (“Raiman Rocks Wailea,” “we,” “us,” or “our”), together with any purchase you make from us (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

Please read these Terms carefully. By accessing or using the Services, creating an account, or placing an order, you agree to these Terms and acknowledge our Privacy Policy and Returns & Refunds Policy. If you do not agree, do not use the Services.

Certain rights under applicable consumer law cannot be waived or limited by contract. Nothing in these Terms is intended to exclude, restrict, or modify those rights. If an order confirmation, product-specific term, or another policy expressly addresses a particular subject, that more specific term will control for that subject.

1 ⬩ Account & Use of Services

 

Access & Account

You must be at least the age of majority in your place of residence to make a purchase. If you permit a minor dependent to use the Services, you are responsible for supervising that use to the extent permitted by law.

You agree to provide current, complete, and accurate information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. Please notify us promptly if you believe your account has been accessed without authorization.

You may not transfer, sell, assign, or license your account to another person. We may take reasonable steps to verify identity, payment authority, shipping information, or order legitimacy before accepting or fulfilling an order.

Prohibited Uses & Automated Access

You may use the Services only for lawful purposes. You may not use them to violate law or third-party rights; commit fraud or misrepresentation; transmit malicious code; interfere with security or operation; harvest personal information unlawfully; impersonate another person; send unauthorized advertising; circumvent access controls; or engage in conduct that harms us, Shopify, customers, or other users.

Standard browsers, accessibility technology, search engines that follow applicable technical directives, and customer-authorized shopping assistants may access the Services for legitimate purposes. Automated access must not conceal its nature where identification is technically required, bypass security measures or CAPTCHAs, place unauthorized orders, create unreasonable system load, scrape protected content in violation of law or our rights, or disregard a request to stop.

We may use reasonable technical and contractual measures to prevent abusive or unauthorized automated activity. We may suspend access for a violation, subject to applicable law.

Suspension & Termination

We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, created a security or fraud risk, or used the Services unlawfully. Where practicable and appropriate, we may provide notice and an opportunity to address the issue.

Termination of website access does not eliminate payment obligations already incurred or rights and remedies relating to an existing order. Provisions that by their nature should survive—including intellectual property, warranty disclaimers, liability limitations, indemnification, governing law, and accrued rights—will survive.

2 ⬩ Products & Jewelry Disclosures

We make reasonable efforts to describe and display our jewelry accurately. The product page, written specifications, applicable grading report or certificate, and order confirmation in effect when we accept your order form part of the description of the item you purchase. If there is a conflict, the most specific written product specification or order confirmation controls.

Jewelry, gemstones, and handcrafted pieces can have natural or production-related variations. Screen settings, lighting, magnification, and photography can also affect the appearance of color, scale, texture, and detail. Reasonable visual differences of this kind are not defects, but this provision does not excuse a material misdescription or limit any remedy required by law.

Carat weights, dimensions, metal weights, and other measurements are stated using the precision and tolerances identified on the product page or customary for the applicable measurement. Where an item is accompanied by an independent grading report or certificate, the report reflects the issuing laboratory’s professional opinion under its own standards as of the report date. Unless we expressly state otherwise, the laboratory is independent from Raiman Rocks Wailea, and the report is not an appraisal or a guarantee of current or future market value.

Where applicable, we disclose material information concerning gemstone origin, laboratory-created status, treatments or enhancements, special-care requirements, and other characteristics at the product level or point of sale. You are responsible for reviewing those disclosures and any care instructions before purchase and use.

Unless we expressly state otherwise in writing, jewelry is sold for personal use and enjoyment, not as an investment, and we do not guarantee appreciation, liquidity, appraisal value, or resale value.

Product availability is not guaranteed. We may limit quantities, discontinue products, or decline an order before acceptance. Any change to an accepted order requires your agreement unless the change is required by law or is immaterial and does not reduce the item’s value or quality.

3 ⬩ Orders, Pricing & Payment

 

Orders & Acceptance

Submitting an order is an offer to purchase. An automated order acknowledgment confirms receipt but does not necessarily constitute acceptance. We accept an order when we send an express acceptance, begin authorized custom or made-to-size work, or ship the item, whichever occurs first.

We may decline or cancel an order before acceptance because of availability, a pricing or description error, suspected fraud or unauthorized activity, an inability to verify required information, shipping restrictions, or another legitimate business reason. If we cancel after collecting payment, we will issue a refund to the original payment method.

Please review all specifications, sizing selections, engraving instructions, shipping information, and other order details before submitting your order. Changes or cancellations may not be possible after an order is accepted or production begins.

You represent that purchases are for lawful personal, family, household, or gift use and not for unauthorized commercial resale, export, money laundering, or other unlawful activity.

Prices, Payment, & Billing

Prices, promotions, and availability may change before an order is accepted. Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping charges, customs duties, import fees, brokerage charges, or similar governmental or carrier charges.

If we discover a material pricing or description error before accepting an order, we may notify you and offer the choice to proceed on the corrected terms or cancel for a full refund. We will not charge a higher corrected price without your affirmative agreement. After acceptance, we will address errors in accordance with applicable law and the specific circumstances.

You represent that you are authorized to use the payment method submitted and that the payment information is accurate. Payment authorization may be subject to fraud screening, issuer approval, and verification. Your financial institution may place a temporary authorization hold even if an order is later declined or canceled.

For international orders, you are responsible for duties, taxes, and import charges unless we expressly state that they are included. We are not responsible for delays caused by customs, but your statutory rights concerning delayed shipment remain unaffected.

Errors, Inaccuracies, & Availability

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to descriptions, pricing, promotions, shipping charges, transit estimates, availability, or other matters. We may correct the Services at any time.

Before order acceptance, we may decline or cancel an affected order and provide a full refund of any amount collected. After acceptance, we will not impose a higher corrected price without your agreement and will address any material error in accordance with applicable law, the order confirmation, and these Terms.

4 ⬩ Shipping, Delivery, & Risk of Loss

Shipping and delivery dates are estimates unless we expressly guarantee a date. We maintain a reasonable basis for stated shipment estimates. If we cannot ship within the stated timeframe, or within the timeframe otherwise required by law, we will provide notice and any option to consent to a delay, cancel, or receive a refund required by applicable law.

We may require signature confirmation, identity verification, or other delivery safeguards for valuable items. You are responsible for providing an accurate and secure delivery address and for ensuring that you or an authorized recipient can accept delivery.

Unless you arrange your own carrier or instruct the carrier to redirect, release, or deliver the package in a manner outside our original delivery instructions, risk of loss remains with us until the carrier records delivery to the address provided or the item is collected by you or your authorized recipient. If you authorize a redirection, delivery release, or alternative delivery arrangement, risk transfers when delivery is completed according to those instructions, to the extent permitted by law.

Please inspect your order promptly after delivery and contact us immediately if it is missing, damaged, defective, or incorrect. Nothing in this section limits remedies available under our Returns & Refunds Policy or applicable law.

5 ⬩ Returns, Exchanges, & Cancellations

Returns, exchanges, return shipping, inspections, and refunds are governed by our Returns & Refunds Policy, which is incorporated into these Terms. If there is a conflict concerning return eligibility or processing, the Returns & Refunds Policy controls.

Made-to-size, fully custom or bespoke, personalized, engraved, special-order, and final-sale jewelry is not eligible for return or exchange, except where remedies are required for damaged, defective, or incorrect items or otherwise required by law.

Selecting a ring’s original US size 6½ or a bracelet’s original 7-inch size does not make it made-to-size, provided the piece is delivered without modification or customization. Pieces manufactured or modified to the customer’s requested size are made-to-size and final sale, subject to our Returns & Refunds Policy and applicable law.

Authorization to send an item back does not itself determine refund eligibility. Once received, the item will be inspected under the Returns & Refunds Policy. We pay authorized return shipping as described in that policy.

6 ⬩ Intellectual Property & Feedback

 

Intellectual Property

The Services—including trademarks, trade names, logos, text, product descriptions, photographs, video, audio, graphics, designs, and the selection and arrangement of content—are owned by or licensed to Raiman Rocks Wailea and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, sell, or exploit our content without prior written permission, except as permitted by law.

No license to any trademark, copyright, patent, design right, or other intellectual property is granted except as expressly stated. Shopify and other third-party names and marks belong to their respective owners.

Reviews & Feedback

If you voluntarily submit a public review, testimonial, photograph, suggestion, or other content intended for publication or promotional use (“Feedback”), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate, distribute, and display that Feedback for operating, improving, and promoting our business, subject to applicable law.

This license does not apply to private customer-service communications, payment information, identity documents, or other material that a reasonable person would understand was submitted confidentially rather than for publication.

You represent that you have the necessary rights to submit Feedback, that it is accurate and lawful, and that you have disclosed any compensation or incentive connected with it. We may moderate or remove Feedback where permitted by law, but we have no obligation to publish it.

7 ⬩ Third Parties & Shopify

 

Optional & Third-Party Tools

We may provide access to tools, integrations, or services operated by third parties. We do not control those services and do not make warranties concerning them. Your use may be subject to separate third-party terms and privacy notices.

To the extent permitted by law, optional third-party tools are provided for convenience and are used at your discretion and risk. Nothing in this section limits responsibility that cannot lawfully be excluded.

Third-Party Websites & Links

The Services may contain links to websites or materials operated by third parties. A link does not necessarily constitute endorsement. We are not responsible for third-party content, security, availability, products, services, or practices.

Review the applicable third party’s terms, privacy notice, return policy, and other conditions before engaging in a transaction. Questions or claims concerning a third party’s products or services should be directed to that third party, except where applicable law provides otherwise.

Relationship with Shopify

Our store is hosted and supported by Shopify. Purchases from our store are transactions directly between you and Raiman Rocks Wailea; Shopify is not the seller of our products and is not responsible for fulfilling our sales obligations.

Shopify may process information and provide technology necessary to operate the Services. Shopify’s role in processing personal information is described in our Privacy Policy and the Shopify Consumer Privacy Policy.

8 ⬩ Privacy

Our collection, use, disclosure, and retention of personal information is governed by our Privacy Policy. If these Terms conflict with the Privacy Policy concerning personal-information practices, the Privacy Policy controls.

By using the Services, you acknowledge that information may be processed by Shopify and other service providers, including in jurisdictions outside your place of residence, as described in the Privacy Policy.

9 ⬩ Disclaimer of Warranties

 

Important warranty notice: The information presented through the Services is provided for general informational purposes. Except as expressly stated by us in writing and to the fullest extent permitted by applicable law, the website and other digital Services are provided on an “as is” and “as available” basis. We do not warrant that access to the digital Services will be uninterrupted, timely, secure, or error-free.

Any product warranty is limited to the warranty, if any, expressly stated on the applicable product page or provided with the product. Nothing in these Terms excludes or limits an express warranty, implied warranty, statutory guarantee, remedy, or other consumer right that cannot lawfully be excluded or limited, including rights relating to products that are damaged, defective, misdescribed, or incorrect.

10 ⬩ Limitation of Liability

 

Important limitation of liability: To the fullest extent permitted by applicable law, Raiman Rocks Wailea and its owners, officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the Services, even if advised that such damages were possible.

This limitation does not apply to fraud, gross negligence, willful misconduct, death or personal injury, breach of an express written warranty, or any statutory consumer right or other liability that cannot lawfully be excluded or limited. Nothing in these Terms limits remedies that applicable law provides for damaged, defective, misdescribed, or incorrect products. Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.

11 ⬩ Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Raiman Rocks Wailea and our affiliates, officers, employees, agents, contractors, service providers, and licensors from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, your material breach of these Terms, or your violation of another person’s rights.

This obligation does not apply to the extent a claim results from our negligence, willful misconduct, breach of these Terms, or violation of law. We will provide reasonable notice of an indemnified claim and will not agree to a settlement imposing a non-monetary obligation on you without your consent, which will not be unreasonably withheld.

12 ⬩ Governing Law & Disputes

These Terms and transactions with Raiman Rocks Wailea are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles, except to the extent another jurisdiction’s mandatory consumer law applies.

Subject to any right you have to bring a claim in another court under mandatory law, you and Raiman Rocks Wailea consent to personal jurisdiction and venue in the state courts located in Maui County, Hawaii, and the United States District Court for the District of Hawaii.

Before filing a claim, we encourage you to contact us so we can attempt to resolve the matter informally. This does not shorten any limitation period or require you to waive a right or remedy, and it does not prevent either party from bringing an eligible claim in small claims court.

13 ⬩ General Terms

 

Severability

If any provision of these Terms is held unlawful, void, or unenforceable, it will be enforced to the greatest extent permitted and severed to the minimum extent necessary. The remaining provisions will remain in effect.

Waiver, Entire Agreement, & Order of Precedence

A failure to enforce a provision is not a waiver. These Terms, the policies incorporated by reference, the applicable product description, and the order confirmation constitute the agreement governing your use of the Services and purchase.

If provisions conflict, an express order-specific term controls for that order; the Privacy Policy controls personal-information practices; and the Returns & Refunds Policy controls return eligibility and processing. Otherwise, these Terms control.

Assignment

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the business, provided that the assignment does not reduce non-waivable consumer rights.

Headings

Headings are included for convenience and do not limit or alter the meaning of these Terms.

Changes to These Terms

We may update these Terms to reflect changes in law, our practices, or the Services. We will post the revised Terms and update the “Last updated” date. Where required by law, we will provide additional notice of material changes.

Changes apply prospectively from their stated effective date. Unless applicable law requires otherwise or you agree to a change, the version in effect when an order was accepted will continue to govern that order.
